Welcome to Noro Corp. ("Noro," "we," "our," or "us"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Noro Corp. concerning your access to and use of our mobile application(s), web-based platforms, websites, and all associated services, content, features, technologies, and functionality (collectively, the "Service").
By creating an account, accessing, browsing, installing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms, including any additional guidelines and future modifications. If you do not agree with all of these Terms, you may not access or use the Service.
If you are acting on behalf of an organization, institution, business, or another legal entity, you represent that you are authorized to bind that entity to these Terms, and in that case, "you" refers to that entity.
1. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to access or use the Service. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
The Service is not intended for users who are not legally permitted to use technology products of this nature in their jurisdiction.
2. Nature and Purpose of the Service
Noro is an AI-powered educational platform that offers simulated clinical encounters and virtual patient scenarios for the purpose of helping learners in the field of medicine and healthcare education to practice and enhance their clinical reasoning, history-taking, differential diagnosis generation, and professional communication skills.
The Service is strictly intended for educational and training purposes. It is not a clinical decision support tool, diagnostic tool, or medical device. No simulated interaction, suggestion, or output provided through the platform is intended to be relied upon for real-world medical decision-making, treatment guidance, patient safety planning, or emergency response.
You must not use the Service in any setting where real-life patient care, diagnoses, or treatment decisions are being considered.
3. Account Registration and Responsibilities
To access certain features, you may be required to register and create an account. You agree to:

- Keep your credentials (including passwords and logins) secure and confidential
- Accept full responsibility for any activities conducted under your account

Provides natural language processing for simulation dialogue

Provides backend infrastructure including user authentication, data storage, and real-time analytics
By using Noro, you consent to having your input and usage data transmitted to and processed by these third-party services. Noro Corp. is not responsible for the data policies, availability, or output reliability of these third-party services. You acknowledge that the AI models may generate unpredictable or flawed outputs and that you are responsible for interpreting results with caution.
6. Information Collection, Use, and Storage
We collect the following types of information:

Beta Features: Experimental features labeled as "beta," "preview," or "pilot" may contain bugs, be incomplete, or be removed at any time. You accept all risks associated with using such features.
10. Fees, Billing, and Refund Policy
Where applicable, you agree to pay all fees for access to paid features or plans. Fees are billed in advance and are non-refundable unless otherwise specified. You are responsible for any taxes, transaction fees, or additional local charges imposed in your jurisdiction.
If payments are not received, we may suspend access to the Service until the balance is resolved.
11. Ownership and Intellectual Property
All content, software, interfaces, audio, visuals, simulated scenarios, and documentation are the property of Noro Corp. or its licensors. You may not reproduce, publish, or reuse any part of the platform except as allowed under your educational license.
The Noro name, logo, product designs, and features are protected trademarks. All rights not explicitly granted are reserved by Noro Corp.
12. User Submissions and Feedback
You may voluntarily submit feedback, ideas, suggestions, or improvements to Noro. You grant Noro Corp. an unlimited, irrevocable, royalty-free, perpetual license to use this feedback for any purpose.
You retain rights to any non-prohibited content you upload, but you grant us a license to use it as necessary to operate the Service.
13. Warranty Disclaimer
The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We make no representations or warranties about the availability, reliability, or accuracy of simulations.
14. Limitation of Liability
To the fullest extent permitted by law, Noro shall not be liable for any indirect, incidental, punitive, or consequential damages, or loss of data, use, or profits, arising from or related to the use of the Service.
Our total liability for any claim will not exceed the greater of (a) the amount you paid to us in the twelve months prior to the claim or (b) CAD $100.
15. Assumption of Risk
You understand that AI-generated educational tools carry inherent limitations and that outputs may be inaccurate, unrealistic, or outdated. You agree not to rely on any content as clinical or professional advice.
By using the platform, you accept all associated risks and agree to exercise independent professional or academic judgment.
16. Indemnification
You agree to indemnify, defend, and hold harmless Noro Corp., its affiliates, officers, directors, employees, licensors, agents, and contractors from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use or misuse of the Service
- Your violation of these Terms
- Any content or data you submit through the Service
- Any violation of applicable laws or third-party rights
17. User Rights and Appeals
If your account is suspended or terminated and you believe it was done in error, you may submit an appeal in writing to [Insert Email] within ten (10) business days. Appeals will be reviewed in good faith, and all decisions rendered shall be final and binding unless otherwise required by law.
You may request to access, rectify, or delete your data where applicable under your local data protection laws (e.g., GDPR, CCPA, PIPEDA).

Noro retains user data only for as long as necessary for the purposes stated in these Terms and our Privacy Policy. Anonymized logs or usage metrics may be retained for internal improvement for up to 24 months or as required by law.

The Service is not directed to individuals under 13 years of age or the minimum age required in your jurisdiction. We do not knowingly collect personal information from children. If we become aware that a user is underage, we will promptly delete their account and associated data.
20. Machine Learning and Research Use
Anonymized and de-identified user interactions with the Service may be used to:

We will never use personally identifiable data or health-related content for these purposes unless you have explicitly opted in.

You agree to use the Service in accordance with all local, national, and international laws, including export restrictions and regulations governing data use and transmission. You must not use the Service in any country or territory where such use is prohibited by applicable law.
22. Institutional or Enterprise Use
Where the Service is accessed through a medical school, healthcare organization, or academic institution:
- The institution may receive limited, anonymized analytics for educational monitoring
- The institution is responsible for obtaining any necessary student or faculty consents
- Use must comply with both these Terms and any written agreement between Noro Corp. and the institution
Noro Corp. disclaims any liability for an institution's misuse of data or failure to meet legal requirements.
23. Audit and Compliance
We reserve the right to audit institutional or enterprise accounts to verify compliance with usage terms and contractual agreements. If misuse is detected, we may issue warnings, impose access restrictions, or pursue termination or legal enforcement.
24. Force Majeure
Noro Corp. shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, cyberattacks, pandemics, telecommunications failures, infrastructure outages, and acts of government.
25. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations in the event of a merger, acquisition, corporate restructuring, or sale of assets.
26. Survival of Terms
Any section of these Terms which by its nature should survive termination (including but not limited to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution) shall remain in full force and effect after your use of the Service ends.
27. Dispute Resolution and Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the provincial and federal courts located in British Columbia, unless otherwise required by consumer protection laws in your jurisdiction.
For enterprise or institutional clients, Noro may offer optional arbitration agreements or alternate dispute resolution pathways, as documented in separate contracts.
28. Electronic Communications
By using the Service, you agree to receive communications from Noro electronically. You consent to receive all agreements, notices, disclosures, and other communications electronically, which satisfy any legal requirements that such communications be in writing.
29. Accessibility and Accommodations

30. Ethics Disclaimer
Noro is intended to supplement—not replace—clinical teaching or supervision. It is not designed to emulate lived human experiences, empathy, or the nuanced judgment of licensed professionals. Noro Corp. strongly encourages users to treat the platform as an educational tool, not a proxy for real-world care.
31. Student Conduct and Professionalism
Users affiliated with academic institutions must uphold standards of professional and ethical behavior. This includes refraining from inappropriate or offensive simulated interactions. Noro reserves the right to report misconduct to your institution, suspend access, or revoke privileges in response to such behavior.
32. Confidentiality
You agree not to disclose any confidential or proprietary information about the Service, its underlying systems, or its business operations. This includes but is not limited to: unreleased features, internal testing results, system design, non-public pricing, or private communications.
33. Entire Agreement
These Terms, together with our Privacy Policy and any other supplemental agreements you may have signed, represent the entire agreement between you and Noro Corp. They supersede all prior agreements, communications, and representations, whether oral or written.
If any part of these Terms is held to be invalid or unenforceable, the remaining sections shall remain in full force and effect.
